Public Offer Agreement for the Use of Telegram Bot «Mod Assistant Bot»

The development team Mod Assistant Bot Team, hereinafter referred to as the «Provider», publishes this Public Offer Agreement for the conclusion of a contract for the provision of informational and auxiliary services using the Telegram bot «Mod Assistant Bot».

1. Definitions

1.1. Bot — software hosted on the Telegram messenger under the name «Mod Assistant Bot» (@ModAssistantBot), designed to automate moderation, filter messages, and manage groups/channels.

1.2. User — an individual or legal entity that accepts the terms of this Offer and uses the Bot.

1.3. Client — a User who has added the Bot to their group/channel and/or activated a paid subscription.

1.4. Services — provision of access to the Bot’s functionality, including free and paid features (depending on the subscription tier).

2. Subject of the Offer

2.1. The Provider grants the User access to the functionality of the Telegram bot «Mod Assistant Bot» under the terms set forth in this Offer.

2.2. The User agrees to comply with the terms of use and, in the case of a paid subscription, to renew it in a timely manner.

3. Procedure for Concluding the Agreement

3.1. This Agreement is concluded in the form of a Public Offer in accordance with the principles of international civil law and applicable legislation.

3.2. Acceptance of the Offer means:

• launching the Bot in a private chat (pressing the Start button);
• adding the Bot to a Telegram group or channel;
• activating a paid subscription via integrated payment systems.
  
  

3.3. From the moment of acceptance, this Agreement is considered concluded.

3.4. The User confirms that they have reached the age required to independently enter into an agreement under the laws of their country (but not less than 13 years of age).

4. Terms of Service Provision

4.1. The Bot’s functionality is provided according to subscription tiers described on the official website and/or in the Bot’s interface.

4.2. Subscription tiers may be free (Trial or Free) or paid (Start, Basic, Gold, Pro, Ultra, Titan, Max).

4.3. Paid services are provided only after successful payment using payment providers available in the Telegram interface.

4.4. Services are considered rendered from the moment the corresponding subscription tier is activated.

5. Pricing and Payment Procedure

5.1. Current tariffs and subscription durations are published on the website and/or in the Bot’s interface. Prices may be displayed in various currencies depending on the User’s region.

5.2. Payment is made online via Telegram Payments or other connected payment gateways. Refunds are not provided after payment, except in cases required by applicable law.

5.3. The Provider does not store or process the User’s bank card details — processing is carried out by third-party payment providers in compliance with the PCI DSS standard.

6. Rights and Obligations of the Parties

The Provider undertakes to:

• ensure 24/7 access to the Bot’s functionality (except during scheduled maintenance periods);
• promptly fix errors and update the Bot;
• ensure the security of personal data in accordance with international standards.
  
  

The User undertakes to:

• use the Bot for its intended purpose;
• not take actions that disrupt the operation of the Bot or the Telegram platform;
• not use the Bot for illegal activities, spam, or distribution of prohibited content.
  
  

7. Liability of the Parties

7.1. The Provider is not liable for failures in the operation of the Telegram platform, payment systems, internet providers, or third-party services.

7.2. The Provider is not responsible for actions or omissions by the User that result in loss of access to the Bot’s functionality or blocking by the Telegram platform.

7.3. The Provider’s liability is limited to the amount paid by the User for the current subscription period.

7.4. UNDER NO CIRCUMSTANCES SHALL THE PROVIDER BE LIABLE FOR INDIRECT DAMAGES, LOSS OF PROFITS, OR DATA LOSS.

8. Personal Data and Confidentiality

8.1. By accepting the terms of this Offer, the User consents to the processing of personal data in accordance with applicable data protection laws (including GDPR, where applicable).

8.2. Personal data is used solely for the provision of Services, improvement of the Bot’s performance, and is not transferred to third parties, except where required by law or necessary for payment processing.

8.3. The User has the right to request deletion of their data by contacting support.

9. Intellectual Property

9.1. All rights to the Bot, its source code, design, logos, and related materials belong to Mod Assistant Bot Team.

9.2. Copying, reverse engineering, modification, or creation of derivative works based on the Bot is prohibited without the Provider’s written permission.

10. Term, Amendments, and Termination

10.1. This Offer enters into force upon publication and remains valid indefinitely until withdrawn by the Provider.

10.2. The Provider reserves the right to amend this Offer. The updated version will be published on the official resource and/or in the Bot’s interface. Continued use of the Services after changes constitutes acceptance of the new version.

10.3. The User may discontinue use of the Bot at any time.

10.4. The Provider reserves the right to suspend access to Services in case of User’s violation of the terms of this Offer.

11. Force Majeure

11.1. The Parties are released from liability for partial or complete failure to fulfill obligations under this Offer if such failure results from force majeure circumstances (fire, flood, earthquake, military actions, failures in global networks, etc.) that arose after the conclusion of the Agreement.

12. Governing Law and Dispute Resolution

12.1. The relationship between the Parties is governed by applicable legislation in the field of information technology and electronic services, as well as the Telegram Terms of Service.

12.2. All disputes shall be resolved through negotiation. If no agreement is reached, the dispute shall be submitted for resolution in accordance with the rules of the Telegram platform.

13. Final Provisions

13.1. This Offer is drafted in Russian. In case of translations into other languages, the Russian version shall prevail unless explicitly stated otherwise.

13.2. If any provision of this Offer is found to be invalid, this shall not affect the validity of the remaining provisions.
